1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an Artist account and to sell or receive payments through the Service. Fans must be at least 13 years old to create an account.
3. User Accounts
3.1 Artist Accounts
Artist accounts are used to operate a business on the Service — publishing an artist page, selling tickets and merchandise, running campaigns, and connecting third-party services. Artists represent that they have the right to sell any content or products they list.
3.2 Fan Accounts
Fan accounts allow individuals to purchase tickets and merchandise, vote on cities, and receive campaigns from Artists they follow.
3.3 Account Security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at security@myrosy.app if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Service to violate any law or the rights of others.
- Upload content that is infringing, defamatory, harassing, hateful, sexually explicit involving minors, or otherwise unlawful.
- Attempt to bypass, disable, or interfere with security or rate-limiting features.
- Reverse engineer, scrape, or otherwise abuse the Service or its APIs.
- Use the Service to send unsolicited commercial messages in violation of CAN-SPAM, TCPA, or similar laws.
- Impersonate another person or artist.
5. Content Ownership
5.1 User-Generated Content
You retain all rights to content you upload. You grant R.O.S.Y. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit that content solely to operate and improve the Service on your behalf. This license ends when you remove the content, except to the extent it has been shared with others or is retained in backups.
5.2 Artist Responsibility
Artists are solely responsible for the content of their artist pages, products, campaigns, and social posts, and for fulfilling the offers they extend to Fans.
5.3 Fan Responsibility
Fans are responsible for the accuracy of the information they provide (including shipping addresses) and for the lawful use of any content they receive.
6. Intellectual Property
The Service, including its software, design, and trademarks, is owned by R.O.S.Y. and protected by intellectual property laws. Nothing in these Terms grants you any right to use our marks without our written permission.
6.1 DMCA
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to dmca@myrosy.app with the information required by 17 U.S.C. §512(c)(3). Repeat infringers will have their accounts terminated.
6.2 Platform License
Subject to your compliance with these Terms, R.O.S.Y. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service.
7. Payments
7.1 Stripe
All payments are processed by Stripe under Stripe’s Connected Account and Services Agreement. Artists must complete Stripe Connect onboarding before receiving funds. R.O.S.Y. does not hold funds on behalf of Artists.
7.2 Platform Fees
R.O.S.Y. charges a platform fee on transactions processed through the Service. The current fee schedule is available in the Artist dashboard. Stripe processing fees are charged separately by Stripe.
7.3 Taxes
Artists are responsible for determining, collecting, and remitting any taxes associated with their sales. Fans are responsible for any taxes on purchases as required by applicable law.
7.4 Subscriptions
Future features may be offered on a subscription basis. When such features launch, subscription terms, billing cycles, and cancellation rights will be presented before purchase.
8. Refund Policies
8.1 Ticket Sales
Ticket refund and cancellation policies are set by the Artist. Where a show is cancelled by the Artist, the Artist is responsible for issuing refunds through the Service.
8.2 Merchandise Sales
Merchandise refund policies are set by the Artist and, where applicable, subject to the terms of the underlying fulfillment provider (for example, Printful, Printify, or ElasticStage).
8.3 Affiliate Programs
Artists may operate affiliate programs through the Service. Commissions are calculated on qualifying, non-refunded sales. Commissions may be reversed if the underlying transaction is refunded or charged back.
9. AI Features
R.O.S.Y. offers AI-assisted features that generate suggestions, drafts, and analyses. AI outputs may be inaccurate or incomplete. You are responsible for reviewing AI outputs before publishing or acting on them. You retain ownership of AI outputs generated for your account, subject to third-party rights and to the terms of the underlying AI providers.
10. Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue portions of the Service with reasonable notice.
11. Third-Party Services and API Integrations
The Service integrates with third-party providers, including Stripe, Meta, Google/YouTube, TikTok, Printful, Printify, and ElasticStage. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability or actions of third-party services.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, R.O.S.Y. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO R.O.S.Y. IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
You agree to indemnify and hold harmless R.O.S.Y. and its affiliates from any claim, damage, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms.
15. Termination
You may terminate your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we are required to do so by law. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, unless otherwise required by applicable consumer protection law.
17. Dispute Resolution
The parties will attempt to resolve any dispute informally before pursuing formal proceedings. Any unresolved dispute will be brought exclusively in the state or federal courts located in Delaware, unless applicable law requires another forum.
